The main legal terms governing access to and use of the Sofidus platform and services.

TERMS & CONDITIONS (EN)

Purpose and Scope of This Agreement

This Terms and Conditions document (“Agreement”) establishes the legal framework governing the use of the Sofidus platform and its related services (“Services”). Its purpose is to clearly define the rights, responsibilities, and obligations of both the Customer and UAB Engman Arccon when accessing or using the Services. This Agreement aims to ensure transparency, legal clarity, and a consistent understanding of the terms under which the Services are provided.


Who This Agreement Is Intended For

This Agreement applies to all Customers and authorized Users who access, subscribe to, or interact with the Services, including organizations and individuals using the platform directly or through the Microsoft Commercial Marketplace.


Terminology Used in This Agreement

For clarity and consistency, this document may also be referred to as the “Main Agreement”. Any references to the Main Agreement are to be understood as references to this Terms and Conditions document unless stated otherwise.


Subscription Terms

By accessing, subscribing to, or using any Sofidus subscription‑based Service (including free subscriptions), you agree that the Sofidus Subscription Terms form an integral part of these Terms & Conditions.


Introduction

These Terms (“Terms”) govern the use of the Sofidus platform and related services (“Services”) provided by UAB Engman Arccon (“Company”, “we”, “us”, “our”).

By accessing or using the Services, the Customer (“you”, “your”) agrees to these Terms.

When the Services are acquired through the Microsoft Commercial Marketplace, Microsoft is not a party to this Agreement and is responsible only for Marketplace‑related functions such as subscription processing, billing, and legal contract presentation. Microsoft does not provide, operate, support, or guarantee the Services.

These Terms must be read together with our Privacy Policy and Data Processing Agreement (DPA).


Definitions

  • Services – Sofidus cloud platform including BIM/3D viewing, CDE, DMS, BID modules, workflows, collaboration tools and other features.
  • Customer – the organization or individual subscribing to the Services.
  • User – any individual authorized by the Customer to access the Services.
  • Customer Content – files, data, documents, and materials submitted or generated within the Services.
  • Subscription – the selected paid or free plan.
  • Personal Data – any information relating to an identifiable individual.
  • DPA – the Data Processing Agreement governing Personal Data processed on behalf of the Customer.

Grant of License

We grant the Customer a limited, non‑exclusive, non‑transferable right to access and use the Services for internal business purposes during the Subscription term.

The Customer must not:

  • reverse‑engineer, decompile, or modify the Services
  • bypass access controls or security
  • resell or sublicense the Services

All intellectual property related to the Services remains owned by the Company.


Customer Responsibilities

The Customer agrees to:

  • ensure accuracy of all information provided
  • manage Users and access permissions
  • maintain confidentiality of login credentials
  • ensure that use of the Services complies with applicable laws
  • ensure Customer Content does not violate third‑party rights

Our Responsibilities

We provide and maintain the Services with reasonable skill and care. We will:

  • ensure platform availability
  • apply industry‑standard security measures
  • provide customer support as defined in the subscription plan

Data Protection & Privacy

  • Our Privacy Policy describes how we process Personal Data as a controller.
  • Our DPA applies when we process Personal Data on your behalf as a processor.

When purchased through the Microsoft Commercial Marketplace:

  • Microsoft acts as an independent data controller for subscription, billing and Marketplace data.
  • We receive only minimal identifiers (tenant ID, subscription ID).
  • SSO authentication uses only attributes required for identification (name, email, user ID, tenant ID, roles if applicable).
  • Passwords are never shared.

Payments & Billing

Direct purchases

Subscription fees may be paid by invoice, bank transfer, or any other method we may enable.

We currently do not process card payments directly.

Purchases through the Microsoft Commercial Marketplace

Marketplace subscriptions:

  • are billed entirely by Microsoft
  • follow Microsoft’s tax and renewal processes
  • are not paid directly to Sofidus

Payment Information

Sofidus does not store or process credit card details. If card‑based or digital payments become available, they will be handled by approved PCI‑DSS‑compliant providers.


Term & Termination

These Terms apply for the Subscription duration.

Either party may terminate for material breach if not remedied within a reasonable period.

Upon termination:

  • access to the Services ends immediately
  • Customer Content retained up to 90 days, then deleted per the DPA

Intellectual Property

All software, trademarks, content, and materials used in the Services are the property of the Company or its licensors.

The Customer retains all rights to Customer Content.


Limitation of Liability

To the extent permitted by law, our liability is limited to the total fees paid by the Customer in the previous 3 months.

We are not liable for:

  • indirect or consequential damages
  • data loss caused by Customer actions
  • issues arising from unmanaged third‑party integrations

Warranty Disclaimer

The Services are provided “as is”, except where required by law.

We do not warrant:

  • uninterrupted operation of the Services
  • that the Services will be error‑free

Governing Law

These Terms are governed by the laws of the Republic of Lithuania.

Any unresolved dispute will be submitted to the courts of Vilnius, Lithuania. Each party agrees to this jurisdiction and waives objections based on venue.


Microsoft Marketplace Clause

Microsoft is not responsible for providing, supporting, or ensuring functionality of the Services and is not liable for any claims arising from their use.


Amendments

We may update these Terms to reflect changes in the Services, legal requirements, or business practices.

Unless specified otherwise, updates become effective upon publication.

Continued use of the Services after updates means acceptance of the changes.

If required by law or if changes are material, advance notice will be provided.
